STRIKE • LAY-OFF • LOCK-OUT • RETRENCHMENT - Industrial Relations - Bilingual

STRIKE • LAY-OFF • LOCK-OUT • RETRENCHMENT

Brief differences with practical examples | Industrial Relations

STRIKE

Meaning: Employees collectively stop work to press demands or protest.

Practical example: Workers in a factory stop working together to demand payment of overdue wages.

LAY-OFF

Meaning: Employers temporarily cannot provide work to eligible workers for reasons such as shortage of raw materials, power or machinery breakdown.

Practical example: A textile mill temporarily cannot give work to its workers because cotton supplies have not arrived.

LOCK-OUT

Meaning: Employer temporarily closes the workplace, suspends work, or refuses to continue employing workers during an industrial dispute.

Practical example: During a wage dispute, a factory management shuts its gates and suspends operations to pressure workers.

RETRENCHMENT

Meaning: Employer terminates a worker’s service for reasons other than disciplinary punishment, subject to statutory exclusions.

Practical example: A company permanently reduces its workforce because a production line is discontinued, and terminates surplus workers under applicable rules.

                                                                  AT A GLANCE

Term

Initiated by / cause

Main result

Strike

Employees / workers

Work is stopped by workers; employment ordinarily continues.

Lay-Off

Employer (inability to provide work)

Generally temporary; workers remain on the rolls.

Lock-Out

Employer

Workplace/work is shut by management; not necessarily termination.

Retrenchment

Employer

Employment ends; legal notice and compensation requirements may apply.

Easy memory aid: Strike = workers stop work; Lock-out = employer stops work; Lay-off = employer cannot give work; Retrenchment = employment is terminated.

Legal note: These are simplified descriptions of concepts under Indian industrial law. Specific statutory definitions, eligibility, exceptions, procedures and compensation depend on the applicable law and establishment. A lay-off is not the same as a lock-out.

LOA - Refuse to sign the Agreement by the Contractor - Consequences - Bilingual

After receiving the LOA, can a successful tenderer refuse to sign the agreement and subsequently claim that no binding contract exists merely because the agreement was never signed?

A common misconception among contractors is that a binding contract comes into existence only when the formal agreement is signed by both parties, namely the Contractor and the Railways. However, this understanding is not legally correct.

1. What does the Indian Contract Act, 1872 say?

The Indian Contract Act, 1872 explains how an agreement becomes a legally binding contract. Three important provisions are relevant in this context:

Section 2(b) – Acceptance of a Proposal:

When a person to whom an offer is made gives his acceptance, the offer becomes a promise.

Example: A contractor quotes ₹10 crore for a Railway work. The Railway accepts the tender for ₹10 crore. This acceptance creates a promise between the parties, subject to the applicable terms and conditions.

Section 7 – Acceptance Must Be Absolute and Unconditional:

Acceptance must be clear, final and without any change to the terms of the original offer. If the Railway accepts the tender subject to a new condition or modification that has not been agreed to by the tenderer, it may not amount to unconditional acceptance.

Example: A contractor quotes ₹10 crore for a work. If the Railway accepts the same offer without changing its essential terms, it is an unconditional acceptance. However, if the Railway changes the scope of work or adds a new condition while accepting the tender, the legal effect of that acceptance must be examined.

Section 10 – What Makes an Agreement a Valid Contract?

This Section explains that an agreement becomes a valid contract when it is made with the free consent of the parties, by persons competent to contract, for a lawful consideration and lawful object, and is not otherwise declared void by law.

Example: A competent Railway authority accepts a contractor's valid tender, both parties agree to the essential terms, and the work and payment obligations are lawful. Such an agreement may become a binding contract even before the formal agreement is signed, provided the applicable legal requirements are satisfied.

In simple terms: Section 2(b) explains acceptance, Section 7 explains how acceptance must be made, and Section 10 explains when the agreement becomes legally enforceable.

Therefore, when a tender is validly and unconditionally accepted by the competent Railway authority, with all essential terms settled, a binding contractual relationship may arise even before the formal agreement is signed. The formal agreement subsequently records the contractual terms in the prescribed manner.

2. What does the Railways GCC for Works, April 2022 provide?

Clause 8 of Part I, titled Execution of Contract Document, provides that the successful tenderer must appear before the concerned Railway authority and execute the contract within seven days of receiving notice that the agreement is ready. Where the agreement is signed digitally, personal appearance is not necessary. If the tenderer is a firm or corporation, its duly authorised representative may appear on its behalf.

The Clause clearly states that failure to execute the agreement within the stipulated period shall constitute a breach of the agreement affected by acceptance of the tender. It also provides that the Railway will enter into the formal Contract Agreement only after the contractor submits a valid Performance Guarantee.

If the tenderer fails to comply, the Railway may treat the tenderer as having abandoned the contract. In such a situation, the Railway may cancel the tender and its acceptance, forfeit the full Bid Security and other dues payable to the contractor under the contract. The failed contractor shall also be debarred from participating in the re-tender for that particular work.

Further, the Tender Form, Annexure I, specifically provides that acceptance of the tender constitutes a binding contract even before the formal agreement is prepared and executed, subject to the mutually agreed modifications indicated in the LOA.

Therefore, merely refusing to sign the formal agreement does not enable a successful tenderer to claim that no binding contract exists, as Clause 8 expressly recognises the breach arising from failure to execute the agreement after acceptance of the tender.

3. What has the Supreme Court held?

In Dresser Rand S.A. Vs. Bindal Agro Chem Ltd., (2006) 1 SCC 751, the Hon’ble Supreme Court of India explained that the legal effect of a Letter Of Intent or similar communication depends on its terms and the intention of the parties. It may merely indicate an intention to enter into a contract in future, or it may amount to final acceptance creating a binding contract.

Therefore, a successful tenderer cannot escape contractual liability simply by refusing to sign the formal agreement and subsequently arguing that no contract exists because no agreement was signed.

Counter Offer in Works Contracts - Bilingual

Counter Offer in Works Contracts - Bilingual

1. What is a Counter Offer?

A Counter Offer is a fresh proposal made in response to an original offer, suggesting a change in its price or other important terms.

Simple Example:

  • A offers to sell his car to B for ₹3,00,000.

  • B replies, “I am willing to purchase it for ₹2,50,000.”

  • B's reply is not an acceptance. It is a Counter Offer.

  • If A accepts ₹2,50,000, a contract is formed.

  • If A does not accept, there is no contract.

Official reference / Legal Position: Under Section 7 of the Indian Contract Act, 1872, acceptance must be absolute and unqualified.

2. Counter Offer in Indian Railway Works Tenders

In Railway Works tenders, a counter offer may be considered when:

  • The overall tender value quoted by the Lowest Tenderer (L1) is reasonable.

  • However, the rate quoted for one or more items is comparatively high.

  • Lower rates are available from other tenderers in the same tender or the Last Accepted Rates (LAR) indicate that the quoted rates are high.

  • The Tender Committee (TC) considers a lower rate reasonable and recommends counter-offering it to L1.

3. Practical Example

Suppose L1 quotes ₹1,000 per unit for a particular item, while another tenderer quotes ₹800 for the same item.

If the TC considers ₹800 reasonable, Railways may counter-offer ₹800 per unit to L1.

  • If L1 accepts: The tender may be finalized at the revised rate, subject to the prescribed approvals.

  • If L1 rejects: Railways cannot unilaterally impose the revised rate. Further action must follow the applicable tender rules.

4. Important Points for Departmental Examinations

  1. Counter Offer is a proposal to modify the original offer.

  2. Conditional acceptance involving a material change in terms generally amounts to a counter offer.

  3. In Railway Works tenders, counter offers may be considered for comparatively high item rates, subject to applicable instructions.

  4. The TC recommends the counter offer; the competent authority takes the decision as per delegated powers.

  5. Acceptance of the counter offer by the tenderer is essential before a contract can be concluded on the revised terms.

Remember: A counter offer is not a concluded contract. It becomes binding only when accepted and the other legal requirements for a valid contract are satisfied.

Note: The Railway explanation concerns Works tenders. Stores procurement has separate provisions governing counter offers and negotiations.
